PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE VEGAS X PASS WEBSITE OR BOOKING PLATFORM. BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS IN THEIR ENTIRETY. IF YOU DO NOT AGREE, PLEASE DISCONTINUE USE OF OUR SERVICES IMMEDIATELY.

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Vegas X Pass ("Company," "we," "us," or "our"), a third-party booking platform facilitating reservations and ticket purchases for events, shows, attractions, experiences, and entertainment offerings in Las Vegas, Nevada. Vegas X Pass acts solely as an intermediary between customers and independent event operators, venues, and service providers (collectively, "Venue Partners"). We are not a venue operator, event producer, or direct service provider.

1. Acceptance of Terms

By using the Vegas X Pass website (vegasxpass.com), mobile platform, or any related service, you affirm that you are at least 18 years of age, have the legal capacity to enter into binding contracts, and have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you are booking on behalf of another individual or group, you represent that you have authority to bind those individuals to these Terms.

2. Reservation Requests, Booking Confirmation & Agent Contact

This section governs the reservation and booking process and contains critically important information regarding the nature of purchases made through Vegas X Pass. Please read this section in its entirety.

The following terms apply to all reservation requests submitted through our platform:

•       Reservation Request Only: Submitting a reservation request and completing payment through Vegas X Pass constitutes a request to book, not a confirmed reservation. All bookings are subject to availability verification with our Venue Partners.

•       Agent Contact for Confirmation: Following your reservation request, a Vegas X Pass booking agent will contact you via phone, email, or text message using the contact details you provided. You are responsible for ensuring that your contact information is accurate and current at the time of booking.

•       Confirmation Timeline: We will make reasonable efforts to contact you within 24 to 48 business hours of your reservation request. Response times may vary during peak periods, holidays, or high-demand event dates.

•       Booking Finalization: Your reservation is considered confirmed only upon receipt of a written confirmation (via email or other written communication) issued by Vegas X Pass, which will include the details of your confirmed booking.

•       Availability Not Guaranteed: Vegas X Pass does not guarantee the availability of any event, show, attraction, or experience listed on our platform. Listings are subject to change, cancellation, or unavailability at any time prior to confirmation.

•       Payment Authorization: By submitting a reservation request, you authorize Vegas X Pass to charge the payment method provided for the applicable fees. In the event a booking cannot be confirmed, you will receive a full refund in accordance with our Cancellation and Refund Policy set forth in Section 5.

Vegas X Pass is not responsible for any losses, expenses, or inconveniences arising from an unconfirmed reservation, including but not limited to travel arrangements, accommodations, or ancillary costs made in anticipation of a booking that is not ultimately confirmed. We strongly recommend that you receive written confirmation from Vegas X Pass before making any non-refundable arrangements.

3. Use of the Platform

Vegas X Pass grants you a limited, non-exclusive, non-transferable, revocable license to access and use our platform for the sole purpose of making personal, non-commercial reservation requests for Las Vegas events and experiences. You agree not to:

•       Use the platform for any unlawful, fraudulent, or unauthorized purpose.

•       Attempt to gain unauthorized access to our systems, accounts, or data.

•       Reproduce, distribute, or commercially exploit any content, listings, or materials from our platform without prior written consent.

•       Submit false, misleading, or inaccurate information in connection with any reservation request.

•       Use automated tools, bots, or scripts to access, scrape, or interact with our platform.

We reserve the right to suspend or terminate your access to the platform at any time, without notice, for any violation of these Terms or for any other reason at our sole discretion.

4. Pricing, Fees & Taxes

All prices displayed on the Vegas X Pass platform are quoted in U.S. dollars. Prices are subject to change without notice until a booking is confirmed in writing. As a third-party booking platform, Vegas X Pass may charge service fees in addition to the base price set by Venue Partners. All applicable fees and charges will be disclosed to you prior to the completion of your reservation request.

You acknowledge that certain events, experiences, or services may be subject to applicable taxes, surcharges, gratuities, or additional fees imposed by Venue Partners or applicable law. Such amounts will be disclosed at the time of booking to the extent known. Vegas X Pass is not responsible for any additional charges imposed directly by Venue Partners at the time of the experience.

5. Cancellation, Modifications & Refund Policy

Cancellation and refund policies vary by event, Venue Partner, and booking type. The specific cancellation terms applicable to your reservation will be communicated to you by your Vegas X Pass agent at the time of booking confirmation. The following general terms apply:

•       Unconfirmed Reservations: If Vegas X Pass is unable to confirm your reservation due to unavailability or other circumstances, you will receive a full refund of all amounts charged within 5 to 10 business days to your original payment method.

•       Confirmed Bookings — Customer-Initiated Cancellation: Cancellation terms for confirmed bookings are determined by the applicable Venue Partner and will be disclosed in your booking confirmation. Many bookings may be non-refundable or subject to cancellation fees.

•       Venue or Event Cancellations: In the event that a Venue Partner cancels or significantly alters a confirmed event, Vegas X Pass will make reasonable efforts to notify you promptly and facilitate a refund or alternative booking in accordance with the Venue Partner’s policies.

•       Modification Requests: Requests to modify confirmed bookings (including date changes, group size adjustments, or upgrades) are subject to Venue Partner availability and approval. Additional fees may apply. Contact your Vegas X Pass agent to request modifications.

Vegas X Pass reserves the right to cancel any reservation request that appears fraudulent, abusive, or in violation of these Terms, in which case a full refund will be issued.

6. Role of Vegas X Pass as Third-Party Booking Agent

Vegas X Pass functions exclusively as a third-party booking intermediary. We do not own, operate, manage, or control any of the events, venues, shows, attractions, or experiences listed on our platform. All such offerings are provided by independent Venue Partners, and the quality, safety, legality, and availability of those offerings are solely the responsibility of the respective Venue Partner.

Vegas X Pass does not endorse any Venue Partner or their offerings and makes no warranties or representations regarding the accuracy of event descriptions, pricing, availability, or any other information provided by Venue Partners. Your participation in any Las Vegas event or experience is entirely at your own risk.

7. Assumption of Risk & Liability

Certain events and experiences available through Vegas X Pass (including, without limitation, adventure activities, nightlife events, shows, and interactive experiences) may carry inherent risks. By booking such experiences through our platform, you acknowledge and voluntarily assume all risks associated with your participation. You may be required to execute a separate waiver or release directly with the Venue Partner prior to participation.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VEGAS X PASS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR PLATFORM, ANY BOOKING MADE THROUGH OUR PLATFORM, OR YOUR PARTICIPATION IN ANY EVENT OR EXPERIENCE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall Vegas X Pass’s total liability to you exceed the total amount of fees paid by you to Vegas X Pass in connection with the specific booking giving rise to the claim.

8. Intellectual Property

All content on the Vegas X Pass platform, including but not limited to text, graphics, logos, images, and software, is the property of Vegas X Pass or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any platform content without our prior written consent.

9. Third-Party Links & Content

Our platform may contain links to third-party websites, event pages, or resources operated by Venue Partners or other third parties. These links are provided for your convenience only. Vegas X Pass has no control over third-party content and accepts no responsibility for the accuracy, legality, or appropriateness of such content. Accessing third-party links is at your own risk.

10. Indemnification

You agree to defend, indemnify, and hold harmless Vegas X Pass, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of our platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your breach of any representations or warranties made in connection with a reservation or booking.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Vegas X Pass platform shall be resolved exclusively through binding arbitration administered in Clark County, Nevada, in accordance with the applicable rules of the American Arbitration Association (AAA), except that either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm.

YOU WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION IN CONNECTION WITH ANY DISPUTE RELATING TO THESE TERMS OR OUR SERVICES.

12. Modifications to These Terms

Vegas X Pass reserves the right to modify or update these Terms at any time at our sole discretion. When material changes are made, we will update the Effective Date at the top of this page. Your continued use of our platform following the posting of revised Terms constitutes your acceptance of those changes. We encourage you to review these Terms periodically.

13. Severability & Entire Agreement

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy and any written booking confirmation issued by Vegas X Pass, constitute the entire agreement between you and Vegas X Pass with respect to your use of our platform and services, and supersede all prior or contemporaneous communications and proposals, whether oral or written.
